Who must file a Pennsylvania annual report?
Since 2025, most business entities registered with the Pennsylvania Department of State must file an annual report. That includes limited liability companies and corporations, both Pennsylvania entities and out-of-state entities registered to do business here. A few entity types are exempt or file differently, so check the Department’s annual report page if yours is unusual.

Filing is your responsibility whether or not you receive a reminder. Notices go to your registered office, which is a common problem when that address is old.
What to have ready
The report confirms information the state already has about your entity, so it takes a few minutes if you are prepared. Have these in front of you:
- Your exact legal name as it appears on the Certificate of Organization.
- Your current registered office address. If you use a commercial registered office provider, have its name.
- A card for the $7 fee.
- An email address you check, so you receive the filing confirmation.
If you own more than one entity, each one files its own report and pays its own fee.

- Gather your entity details. Your exact legal name and your registered office address.
- Go to the Department of State’s official filing site. Start from the annual reports page on pa.gov, not from a link in a letter or an ad.
- Confirm or update your information. Correct anything that is out of date.
- Pay the $7 fee and submit. Save the confirmation.
Common mistakes
- Filing on a look-alike website. Only the Department of State’s own site is the official filing.
- Assuming your tax return covers it. The annual report is a separate filing with a different agency.
- Leaving an old registered office on file. State notices go there, and you will not see them.
- Waiting for the last week. A problem with your entity record is easier to fix with time to spare.
- Forgetting a second entity. Each LLC or corporation has its own report.
If you missed the 2026 deadline
The 2026 window for LLCs closed on September 30. Do not pay a third party to “rescue” it. Check the Department of State’s annual report page for the current instructions and for what happens to late reports, then file as soon as you can. Beware of fake notices
