LLC and business formation

An LLC or a corporation separates your personal assets from the business. We complete the state forms from your information, file them for you and get your EIN. Pick the package that fits, in English or Spanish.

Why form an LLC or corporation?

A limited liability company (LLC) is one of the most popular structures for small businesses because it combines legal protection with simplicity. An LLC or a corporation can help you:

  • Separate your personal and business assets. In general, business debts and lawsuits are aimed at the company, not your home or savings. (It does not protect you from your own negligence or from loans you personally guarantee.)
  • Be taken seriously by banks, landlords, vendors and customers.
  • Keep tax options open. An LLC can be taxed as a sole proprietorship, a partnership or, later, an S corporation.

How Pennsylvania LLC formation works

  1. Choose and check your name. It must include “Limited Liability Company,” “LLC” or “L.L.C.” and be different from other registered businesses.
  2. Set your registered office. Every Pennsylvania LLC needs one: a physical Pennsylvania address or a commercial registered office provider.
  3. File the Certificate of Organization. This is the document that creates your LLC. The Department of State filing fee is currently $125.
  4. Put an operating agreement in place. It is not filed with the state, but it spells out ownership and decisions. It matters most with more than one owner.
  5. Get your EIN. Your federal tax ID, which the IRS issues for free. See how we help, or read the EIN guide.
  6. Register for taxes and licenses. Depending on your business, that can include Pennsylvania Department of Revenue registration for sales tax or employees, and local licenses.
  7. Calendar your annual report. Pennsylvania requires one every year. We can file it for you.

Q01How long does it take to form an LLC in Pennsylvania?

It depends on the Department of State’s current processing times. Online filings are generally faster than paper, and the state offers faster review for an additional fee. We give you a current estimate when we begin.

Q02Do I need a registered office?

Yes. Pennsylvania requires every LLC to have a registered office: a physical Pennsylvania address or a commercial registered office provider. We help you choose the option that fits.

Q03Do you form corporations too?

Yes. All three packages cover an LLC or a corporation. Most small businesses choose an LLC, and we explain how each one is taxed before you decide.

Q04Do I need an operating agreement?

Pennsylvania does not require you to file one, but we strongly recommend it. It documents who owns what and how decisions are made. The Standard package includes an operating agreement or bylaws template.

Q05Do I need a lawyer to form an LLC?

Not to form one. Many owners file without an attorney. We handle the filing and paperwork, but we are not a law firm and we do not give legal advice. If your situation involves complex ownership, contracts or disputes, we tell you when an attorney makes sense.

Q06Can I form an LLC if I already have a business?

Yes. Many owners work for a while as a sole proprietor and then form an LLC. We can help you move an existing business into a new LLC and update your tax setup.
