The Pennsylvania annual report requirement
Pennsylvania now requires most registered business entities, including LLCs and corporations, to file an annual report with the Department of State. The essentials:
- Filing window: January 1 to September 30 each year for LLCs
- State fee: currently $7
- Applies to: most domestic and foreign registered entities
- Filed: online with the Department of State

- Federal and state tax return deadlines
- Pennsylvania sales tax or employer withholding returns, if you are registered
- Registered office, address or ownership changes that need to be filed

- Federal estimated tax payment dates for most owners. They move to the next business day when they fall on a weekend or holiday.
- Dec 31
- The last day for most year-end tax moves, so planning has to start earlier.

Q01Is the annual report the same as my tax return?
No. The annual report is a filing with the Pennsylvania Department of State that keeps your business’s registration current. Your tax returns are filed separately with the IRS and the Pennsylvania Department of Revenue.
Q02How much does it cost to file the annual report?
The state fee is currently $7. On the Annual Compliance Plan ($199 a year plus state fees) we file it for you and pay the state fee at cost.
Q03What if I never received the reminder notice?
The state sends notices to your registered office, but filing is your responsibility regardless. We recommend filing proactively every year, and our plan calendars it so you do not depend on mail.
Q04What happens if I miss the deadline?
Failing to file can ultimately lead to administrative dissolution and loss of good standing. That can affect your ability to get a certificate of good standing, open accounts or secure financing. If you missed a filing, contact us and we help you get current.
Q05Does the plan renew by itself?
Yes. The Annual Compliance Plan renews automatically each year. If you do not want it to renew, tell us before the renewal date.
